Inventory Opportunity

Patrick’s Holdings, LLC also known as Patrick’s Elegant Living (“Patrick’s” and/or “We”) invites Qualified Purchasers to make an offer to purchase on an “as is” basis the inventory currently located at 1800 International Drive, McLean, VA 22102. This is not an auction nor a “going out of business sale”. Patrick’s is considering all offers from commercial entities to purchase its inventory.

Offers will be received up to August 18, 2025 at 5 pm EST.

In order to be a Qualified Purchaser, you must be a commercial entity and provide and agree to the following information, terms and conditions:

1. Provide Your Company Name, including EIN and Sales and Use Tax ID

2. Provide Your Street Address, Phone number, and Email address,

3. Tender with your offer to purchase a business or certified check for $100,000.00 dollars made payable to Patrick’s Elegant Living. Your deposit check will be held by Patrick’s attorney, Bizhan Beiramee, Esq.

4. Provide your offer by August 18, 2025, at 5:00 pm EST (the “Submission Date”), which should be delivered by overnight UPS or Fedex or dropped off at Patrick’s location noted below prior to the Submission Date. A decision regarding acceptance shall be no later than August 20, 2025 by 5:00 pm EST.

5. If your offer is accepted, you will be notified and your check will be negotiated as a non-refundable deposit at that time, which will be credited to the purchase price.

6. The balance of Purchase Price must be wired within 48 hours of acceptance of your offer. If We do not receive the Purchase Price within 48 hours of acceptance of your offer, We may accept another offer, and you will forfeit the deposit.

7. Patrick’s disclaims all warranties, express or implied. You accept the inventory on as is basis, subject to any and all defects, including any scratches, cracks, and/or damage due to heat, humidity, or moisture, or water exposure, as a result of the failure of the systems located at the Premises. Prior to the Submission Date, you may inspect the inventory during reasonable business hours, upon presentation of information in Qualification Nos. 1 and 2, and proof of funds for Qualification No. 3.

8. Upon acceptance of your offer, risk of loss passes to the purchaser.

9. You must pick up all the inventory you purchased from 1800 International Drive, McLean, VA 22102 within twenty-five (25) calendar days of acceptance; otherwise any remaining inventory will be forfeited and/or discarded, at your expense.

10. You will be responsible for disassembly, removal, transfer and/or delivery, and any damage to the premises in connection with such removal of inventory.

11. We reserve the right to reject any offer, or to withdraw the merchandise from sale.

12. Time is of the essence.
