NOTICE OF PUBLIC HEARING

WITH RESPECT TO NOT TO EXCEED $75,000,000 OF PUBLIC FINANCE AUTHORITY NHP FOUNDATION SECURED REVENUE BONDS (ELME GERMANTOWN), SERIES 2026A AND 2026B

NOTICE IS HEREBY GIVEN that at 12 noon, Eastern time, on March 26, 2026, at the Executive Office Building, 101 Monroe Street, Rockville, Maryland 20850, 15th Floor, Middle Conference Room, a public hearing as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”) and Section 66.0304(11)(a) of the Wisconsin Statutes, as amended, will be held to consider the proposed issuance of one or more series of bonds, pursuant to a plan of financing, including qualified 501(c)(3) bonds as defined in Section 145 of the Code, for a multifamily residential rental property, by the Public Finance Authority (the “Authority”) in an aggregate principal amount not to exceed $75,000,000 (the “Bonds”).

The Bonds are expected to be issued pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, and the proceeds from the sale of the Bonds will be loaned to NHPF Germantown Owner LLC (the “Borrower”), the sole member of which is The NHP Foundation (the “Foundation”), an organization described in Section 501(c)(3) of the Code, to: (1) finance or reimburse the costs of acquisition, rehabilitation, furnishing, equipping and/or development of a 218-unit multifamily residential rental property located at 2 Observation Court, Germantown, Montgomery County, Maryland (the “Facility”); (2) pay certain expenses incurred in connection with the issuance of the Bonds; (3) fund one or more debt service reserves with respect to the Bonds; and (4) fund related working capital costs (collectively, the “Project”). The Facility will be owned and operated by the Borrower and/or the Foundation, or another wholly-owned subsidiary of the Foundation.

The Bonds will be special limited obligations of the Authority payable solely from the loan repayments to be made by the Borrower to the Authority and certain funds and accounts established by the indenture of trust for the Bonds. Montgomery County, Maryland (the “County”) will not have any obligation or responsibility for the (i) issuance of the Bonds, (ii) the payment of debt service on the Bonds, or (iii) acquisition, rehabilitation, furnishing, equipping and/or development of the Project. The County is hosting this hearing as the jurisdiction where the Project will be located in compliance with Section 147(f) of the Code.

The hearing will provide a reasonable opportunity to be heard for persons wishing to express their views on the merits of the Project, its location, the issuance of the Bonds or related matters. Oral comments will be limited to 10 minutes per speaker. A person wishing to speak at the hearing will be asked to provide his or her name, address and the person(s) or entity(ies) he or she represents, if any, prior to speaking. Comments must be received on or before the date and time of the hearing.
